Please read these Terms and Conditions, along with my Privacy Policy, and Service Guidelines and Expectations, carefully before using my services.
Important Information for Consumers: For services agreed at a distance (e.g., online, by email) or off-premises, you have statutory cancellation rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Please see Section 7 for full details, including your 14-day cooling-off period and how it applies.
In this Agreement, unless the context requires otherwise:
Hypnotherapist / I / Me: Refers to Matthew Earl, currently acting as a Trainee Hypnotherapist, which means I am undergoing a training and certification (CHt) with Grace Method School of Hypnotherapy. And refers to me as a Hypnotherapist (CHt) should I complete my certification.
Client / You / Your: Means the individual accepting these terms and conditions and receiving the hypnotherapy service.
Parties: Means Matthew Earl, and the Client, the individual accepting these terms and conditions.
Session / Hypnotherapy Session: Means the time spent together as Hypnotherapist and Client.
Force Majeure: Means an event or sequence of events beyond reasonable control preventing or delaying You or Me from performing any obligations under this Agreement. This would include, but is not limited to, illness.
Registration / Intake: Means Your registration with Me to allow You to access my services.
My name is Matthew Earl. I have over 20 years’ experience teaching meditation to an advanced level. Meditation and hypnotherapy are closely aligned. In fact, hypnotherapy expert and trainer Grace Smith defines hypnotherapy as “Meditation with a goal."
Currently, and over the past 20 years, I have regularly given talks, run courses, workshops and retreats both in the UK and internationally (including Italy, India and Ireland), teaching meditation, and positive thinking.
I am currently in my final stages of training as a Hypnotherapist. Training with the Grace Method School Hypnotherapy Course, I chose this school after much research and consideration. I believe it offers the highest standard of progressive client-focused hypnotherapy training available, enabling the most positive, productive experience for clients.
Grace Space Hypnosis is accredited by IACT (International Association of Counselors & Therapists, a premier association for holistic practitioners) and IHF (International Hypnosis Federation) and meet all of their requirements.
As a trainee hypnotherapist, my qualifications and experience are in line with the requirements of the Grace Method School Hypnotherapy Course. I am approved and required by the school to offer Hypnotherapy sessions as part of my continuing training.
My full trading name is Matthew Earl. I am based in London, UK. For any reason, I am contactable via email at matthew[at]matthewearlwellness[dot]com.
The following information is provided to You in compliance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, where this contract is concluded at a distance (e.g., online, by email) or off-premises:
(a) Main characteristics of the services: Hypnotherapy sessions as described in these Terms & Conditions and in the Service Guidelines & Expectations document.
(b) My identity: Matthew Earl, Hypnotherapist (trainee).
(c) My geographical location and contact details: As stated in Section 1.2.
(d) Total price of services: The fees for sessions are as stated at the time of booking and confirmed to You. All prices are inclusive of any applicable taxes.
(e) Additional costs: There are no additional delivery charges or hidden costs beyond the agreed session fees.
(f) Arrangements for payment, performance, and time for performance: Payment is required in advance as per Section 6.2.3. Sessions will be performed at the agreed scheduled time.
(g) My complaint handling policy: As detailed in Section 14.0.
(h) Right to cancel: Your statutory rights to cancel are detailed in Section 7.1. A Model Cancellation Form is provided at the end of these Terms & Conditions.
(i) Costs of service during cancellation period: If You request the service to begin during the 14-day cancellation period and then cancel, You may be required to pay for the proportionate value of the service supplied, as detailed in Section 7.1(c).
(j) Loss of cancellation right: If the service is fully performed within the 14-day cancellation period at Your express request and acknowledgement, Your right to cancel is lost, as detailed in Section 7.1(c)(i).
(k) Legal duty: I am under a legal duty to supply services that conform to this contract.
(l) After-sales assistance/guarantees: No specific after-sales assistance or commercial guarantees are offered beyond the service itself and Your statutory rights.
(m) Codes of conduct: I am not currently subscribed to a specific code of conduct beyond the ethical guidelines of my training institution and relevant professional associations I may join.
(n) Duration of contract: This Agreement is ongoing until terminated by either party as per Section 19.0. Individual sessions are for the agreed duration.
(o) Minimum duration of Your obligations: Beyond payment for booked sessions, there is no minimum duration of obligation under the overarching Agreement.
(p) Deposits/financial guarantees: No deposits or financial guarantees are required from You, other than pre-payment for sessions.
(q) Functionality/interoperability of digital content: Sessions are conducted via standard video conferencing software (e.g., Zoom, Google Meet). You are responsible for ensuring Your equipment is compatible as per Section 6.4.2.
Participating in Hypnotherapy / Hypnosis may result in several benefits, including, but not limited to, reduced stress and anxiety, a decrease in negative thoughts and self- sabotaging behaviours, improved interpersonal relationships, increased comfort in social, work, and family settings, increased capacity for intimacy with others, and increased self-confidence. Such benefits may also require substantial effort on Your part, including an active participation in the therapeutic process, honesty, and a willingness to change feelings, thoughts, and behaviours.
Disclaimer: All hypnosis is guided self-hypnosis and requires openness, willingness and effort from the client. I do not offer any guarantee that Hypnotherapy / Hypnosis will yield any or all the benefits mentioned in this document or in any communications from Me.
Each session is conducted online via video call and typically lasts 45-60 minutes for ongoing sessions, and 90 minutes for an initial session, unless otherwise specified when booking. The service provided consists solely of the scheduled session, which is a structured, guided process.
Personalised Hypnotherapy: Sessions are tailored to your personal goals as discussed during your initial consultation and intake / registration.
Discretionary Follow-Up: Brief follow-up emails or resource recommendations may be provided as a courtesy; however, there is no ongoing support outside of scheduled sessions.
To ensure a clear understanding of the service, the following are not included:
Nature of the Service: The service centres exclusively on the guided hypnotherapy session(s) and is not counselling or talk therapy.
Support Between Sessions: While I am happy to address key points during our sessions, I am unable to offer continuous post-session support, including ongoing email correspondence or messaging. Any such correspondence will be solely at my discretion.
Not for Crisis Situations: Hypnotherapy is not designed for crisis situations including urgent mental health situations. If you require immediate help for a mental health crisis, suicidal thoughts, or other emergency situations, please contact a qualified mental health professional, visit your nearest emergency department, or call emergency services immediately. This service cannot and does not provide crisis intervention or emergency support.
Medical or Psychological Treatment: This service is not a substitute for professional medical, psychiatric, or psychological treatment. Clients with diagnosed mental health conditions should consult with their healthcare provider before undertaking hypnotherapy.
You are over the age of 18 and / or You have the legal capacity to enter into and be bound by these terms, or, that You are a parent / guardian of someone under the age of 18;
By completing the intake form and agreeing to these terms, You are confirming that You have carefully read, understood and explicitly agree to be legally bound by all the Terms and Conditions set out in this document (and all other Terms and Conditions referred to by Me, as if they were set out in full within this Agreement).
You agree that all information You provide Me is accurate and agree to inform Me as soon as possible if any of this information changes. Please read my Privacy Policy for information on how I use any information I collect about you.
You agree that treatment, techniques, or content provided by Me will not be shared with others.
Agreement to these Terms and Conditions will form a legally binding and ongoing contract between You and Me for the provision of My services.
I reserve the right to modify or update these Terms and Conditions at any time. You will be notified directly of any significant changes (changes that substantially impact how services are delivered or the benefits I offer).
If You disagree with the modifications, You have the right to terminate this Agreement by providing written notice to matthew[at]matthewearlwellness[dot]com within thirty (30) days of receiving the notification of the changes. Upon receipt of Your termination notice, any sessions booked beyond the termination date will be cancelled. If You have pre-paid for sessions that fall after the termination date and are cancelled by You due to disagreement with modified terms, refunds will be processed in accordance with Section 7.4, taking into account any services already commenced or cancellation charges applicable under Section 7.2 if the cancellation notice for specific sessions is short.
Changes to the terms will be effective immediately unless You exercise Your termination right within the aforementioned 30-day period. No other modification, variation, amendment, or addition to this Agreement will be valid or enforceable unless agreed upon in writing by both Parties.
You agree to inform Me as soon as possible if there are any changes in the information You provided through registration.
Any benefits from hypnotherapy may also require substantial effort on Your part, including an active participation in the therapeutic process, honesty, and a willingness to change feelings, thoughts, and behaviours.
For Your safety, I am unable to offer hypnotherapy services to individuals with a history of, or a diagnosis of the following. You confirm that have never been diagnosed with Personality Disorder, Schizophrenia, Psychosis or Delusional symptoms, Epilepsy or seizures.
It is also Your responsibility to consult with a qualified medical provider regarding any health concerns prior to commencing hypnotherapy sessions. (Please refer to Section 9 for our full disclaimer regarding medical advice). You confirm that You have consulted with an appropriate licenced medical professional regarding any medical issues You have and received confirmation that hypnotherapy is appropriate for You before starting any hypnotherapy related practices or sessions.
Sessions are typically 45-60 minutes or 90 minutes (for introductory sessions), unless otherwise stated whilst booking and / or in communications.
6.2.1 Rates in Effect
I provide hypnotherapy sessions at the fees in effect on the date of booking, reflective of my current practitioner status. At the time of booking, I am acting as a Trainee Hypnotherapist. Once the booking is confirmed, the agreed fee will apply to that session even if subsequent adjustments occur.
6.2.2 Fee Adjustments & Future Qualification
I reserve the right to review and adjust my fees at any time. All new bookings will be subject to the updated fee schedule. Should I qualify as a Certified Hypnotherapist (ChT) in the future, these Terms & Conditions shall continue to apply, with any changes to fees or service descriptions being clearly communicated to You before a new session is scheduled. Please note that any price changes will not apply to sessions already booked.
6.2.3 Payment Timing and Methods
All payments must be made prior to the session(s), and no later than 48 hours before the scheduled start time. For block bookings comprising multiple sessions, payment is required no later than 48 hours before the first session in the block booking. If a session is booked with less than 48 hours before it is due to take place, immediate payment is required.
Payment may be requested through an online payment portal (when available), via an email communication providing bank transfer details, or through a PayPal request, at my sole discretion. You will be informed of the available payment options at the time of booking. Failure to receive payment by the required deadline may result in cancellation of Your session. This is without prejudice to Your statutory cancellation rights as outlined in Section 7.1 where applicable.
Following contact from Me regarding session availability, You will be required to complete an online intake/registration form. This form must be completed and reviewed by Me before payment and scheduling can proceed. Please complete the form promptly upon receipt, ensuring all details are accurate.
This information I will ask for may include (but is not limited to) Your name, date of birth (to verify that You are 18 or over), phone number, address, email, any previous hypnotherapy experience, and what You would like to achieve from the session. This information will help Me in session planning to help You move towards Your desired aim and objectives.
You represent and warrant that all required intake/registration information You submit regarding is truthful and accurate, and that You will maintain the accuracy of such information (including email and contact number) by informing Me of any inaccuracies, or if there are changes in any of the information that You provide.
Please read my Privacy Policy for information on how I use any information I collect about You.
6.3.1. I reserve the right to refuse hypnotherapy services.
Refusal of service will not be based on any protected characteristic as defined by the Equality Act 2010. Legitimate reasons for refusal may include, but are not limited to:
● A demonstrated lack of willingness to engage in the hypnotherapy process.
● Behaviour that suggests the client may be a danger to themselves or others.
● A clear indication that the client has unrealistic expectations that hypnotherapy cannot meet.
● If the client is under the influence of drugs or alcohol.
● If the client withholds relevant information that impacts the hypnotherapy session.
● Based on my professional experience and intuitive assessment, I may determine that the therapeutic relationship would be unlikely to be productive or could potentially be counterproductive. This determination will be made with careful consideration of the client's information and behaviour, and in the best interests of the client's well-being.
I will communicate the reason for any refusal in a respectful and professional manner.
6.4.1 Creating the Right Environment
You are responsible for choosing a quiet, comfortable location free from distractions that may adversely affect the productivity and outcome of a session.
Ensure your environment is settled and safe, with no unattended tasks or activities that might require your attention during the session—for your comfort and safety.
Let household members or colleagues know you’ll be unavailable. Please do not have any pets present in the room.
Silence your devices to minimise interruptions.
6.4.2 Reliable Equipment and Internet Connection
You are responsible for ensuring that You have equipment and an internet connection with the necessary specifications to successfully engage in a video call. A strong Wi-Fi or strong mobile internet 4G / 5G signal are required for video calls. Video calls are usually made by Zoom or Google Meet. There may be circumstances where it is necessary to use alternative video call services. Use headphones with a microphone for clear audio and hands-free convenience.
6.4.3 Contingency
If the connection drops during the session and fails to automatically reconnect within 1 minute, I will try to call and / or text or message You via contact details provided.
If You are experiencing issues with Your Wi-Fi, You may wish to re-connect to the call via another device with internet access via 4G / 5G, such as a mobile phone or tablet. If re-connection is not possible, or issues persist, I may suggest audio only or a telephone call. Hypnotherapy works just as effectively via these formats.
6.4.4 Non-Refundable Connectivity Issues
If the call fails due to issues on your end—such as persistent technical or connectivity failures, and a phone call is also not possible—the session will not be refunded or extended, and I reserve the right not to offer a replacement session.
Sessions may be recorded for quality control and training assessment purposes only with Your separate, explicit prior consent, which will be requested via a specific agreement on the intake form. Agreeing to these Terms and Conditions does not constitute consent for session recording. Please refer to the Privacy Notice for full details on how recordings are handled, stored, shared (including transfer outside the UK for assessment purposes), and your rights regarding these recordings.
Punctuality is essential for the therapeutic process and ensures You receive the full benefit of the scheduled time. Sessions will begin promptly at the agreed time. It is Your responsibility to arrive on time and the session will not be extended.
If You arrive more than 15 minutes after the scheduled start time, the session cannot proceed effectively due to the significantly reduced time available, and the disruption caused to my schedule and the therapeutic structure. This de-values my preparation work and prevents the delivery of the agreed service. As the appointment slot cannot practicably be reallocated at such short notice, the session will be treated as cancelled by You due to non-attendance. In this event, the full session fee will be forfeited. This charge represents compensation for the costs of preparation undertaken specifically for Your session and the irrecoverable loss of the appointment slot which cannot practicably be reallocated at such short notice. This policy applies subject to Your statutory cancellation rights under the Consumer Contracts Regulations 2013 as detailed in Section 7.1, where applicable, particularly if You have made an express request for early service commencement.
(a) The 14-Day Cooling-Off Period: If You are a consumer and this Agreement is concluded "at a distance" (e.g., online, by email) or "off-premises", You have a statutory right to cancel this Agreement within 14 days from the day after the Agreement is made (i.e., the day after You agree to these Terms & Conditions via the Intake Form) without giving any reason. This is known as the "cooling-off period".
(b) How to Exercise Your Statutory Right to Cancel: To exercise this right within the 14-day period, You must inform Me of Your decision to cancel by a clear statement (e.g., an email to matthew[at]matthewearlwellness[dot]com or by using the Model Cancellation Form provided at the end of these Terms and Conditions). To meet the cancellation deadline, it is sufficient for You to send Your communication concerning Your exercise of the right to cancel before the cancellation period has expired.
(c) Effects of Statutory Cancellation:
(i) If You cancel this Agreement within the 14-day cooling-off period and no service has begun at Your express request, You will receive a full refund of any payments made within 14 days of Me being informed of Your decision to cancel.
(ii) Express Request for Service to Begin During the Cooling-Off Period: Hypnotherapy sessions are often scheduled at Your request to take place soon after booking. By ticking the mandatory 'Early Service Acknowledgement & Cancellation Policy Agreement' box on the Intake Form, You make an express request that the hypnotherapy service (which includes preparatory work undertaken by Me specifically for Your session, commencing up to 24 hours prior to any scheduled session) may begin within the 14-day statutory cancellation period if You choose to book a session during that time.
(iii) Consequences of Express Request if You Then Cancel Within 14 Days: If You have made an express request for the service to begin during the cooling-off period and You then exercise Your statutory right to cancel a session scheduled within that 14-day period:
* You will be required to pay Me an amount for the service that is in proportion to what has been supplied prior to You communicating Your cancellation, in comparison with the full coverage of the contract. This includes payment for preparatory work already undertaken for Your session if cancellation occurs after this work has commenced (see Section 7.2(b)).
* You will lose Your statutory right to cancel if the service is fully performed (i.e., the session is completed) within the 14-day period, provided You made the express request for the service to begin and You acknowledged (via the Intake Form) that You would lose Your cancellation right once the contract was fully performed.
(d) Interaction with My Business Cancellation Policy: Your statutory rights described in this Section 7.1 are separate from My operational cancellation and rescheduling policy detailed in Section 7.2. The charges in Section 7.2 may apply if You cancel a session booked at Your express request within the 14-day cooling-off period, representing the proportionate payment due for the service supplied (including preparation) up to the point of cancellation.
This section outlines My policy for cancellations or rescheduling requests made outside of, or in conjunction with (as explained in 7.1(d)), Your statutory 14-day cooling-off rights. All requests to cancel or reschedule an appointment must be submitted in writing via email to matthew[at]matthewearlwellness[dot]com.
(a) Cancellation or Reschedule with More Than 24 Hours' Notice: If You provide at least 24 hours' written notice before Your scheduled appointment time, You will be offered the opportunity to reschedule Your session to an alternative mutually convenient time at no additional cost. Refunds are not typically offered for timely cancellations where rescheduling is possible. If a refund is exceptionally agreed, it will be processed as per Section 7.4.
(b) Cancellation or Reschedule with Less Than 24 Hours' Notice (but 3 hours or more): If You cancel or request to reschedule with less than 24 hours' notice, but 3 hours or more, before Your scheduled appointment time, a non-refundable charge of £30 will apply. Justification: This £30 charge is a genuine pre-estimate of the direct loss incurred by Me. It covers the cost of the specific preparatory work undertaken for Your session (which can include review of Your case notes, specific session planning, and tailoring of therapeutic materials, commencing up to 24 hours beforehand) and contributes towards compensating for the lost appointment slot which is difficult to fill at such notice. This charge applies whether the cancellation occurs inside or outside the 14-day statutory cancellation period if You have made an express request for early service commencement as per Section 7.1(c)(ii) and this charge represents the proportionate payment due.
(c) Cancellation or Reschedule with Less Than 3 Hours' Notice (or Non-Attendance): If You cancel or request to reschedule with less than 3 hours' written notice before Your scheduled appointment time, or if You fail to attend the session (which includes arriving more than 15 minutes late for Your scheduled appointment as per Section 6.6, hereafter referred to as 'Non-Attendance') the full session fee will be forfeited and non-refundable. Justification: This charge represents a genuine pre-estimate of My direct and unavoidable financial loss resulting from the very short notice cancellation or non-attendance. Specifically, it covers:
* Costs of Preparation: The client-specific preparatory work already undertaken for Your session (as described in 7.2(b)), which is rendered unusable.
* Irrecoverable Loss of Appointment Slot: With less than 3 hours' notice, it is practically impossible for Me to reallocate this dedicated appointment time to another client, resulting in a direct loss of the anticipated revenue for that session. My services are time-specific, and an unfilled slot due to very late cancellation is a direct financial loss.
This policy applies whether the cancellation occurs inside or outside the 14-day statutory cancellation period if You have made an express request for early service commencement as per Section 7.1(c)(ii), and this charge represents the proportionate payment due for the service committed and preparatory work completed.
(d) My Right to Cancel: If I have to cancel a session, I will provide You with as much notice as possible and offer to reschedule the session at no additional cost to You, or provide a full refund for that session if rescheduling is not feasible for You. I shall not be liable for any other losses You may incur as a result of My cancellation.
In the event that I, the hypnotherapist, commence Your session more than ten minutes late, I will offer to extend the session by the amount of time I am late or if that is not possible, I will offer a rescheduled appointment at no additional cost to You. You acknowledge and agree that You will not be entitled to any financial compensation.
Fees paid for sessions are generally non-refundable except as explicitly stated in this Section 7 or as required by UK consumer law.
If You exercise Your statutory right to cancel within the 14-day cooling-off period before any service (including preparation at Your express request) has commenced (Section 7.1(c)(i)), You will receive a full refund.
If You cancel a session booked at Your express request within the 14-day cooling-off period after service (including preparation) has commenced, You will be liable for proportionate costs as per Section 7.1(c)(iii), which may include the charges detailed in Section 7.2(b) or 7.2(c).
For cancellations outside the statutory cooling-off period, or within it subject to Your express request for early service:
● If You cancel with less than 24 hours' notice (but 3 hours or more), the £30 charge as detailed in Section 7.2(b) is non-refundable.
● If You cancel with less than 3 hours' notice or fail to attend, the full session fee is forfeited and non-refundable as detailed in Section 7.2(c) and Section 6.6.
Refunds, where due, will be processed within 14 days of confirmation of cancellation or eligibility, typically via the original payment method unless otherwise agreed.
By completing the Intake Form, including ticking the mandatory consent boxes acknowledging these Terms and Conditions (and specifically the terms outlined in Section 6.6 regarding lateness and Section 7 regarding statutory cancellation rights, early service commencement, My business cancellation/rescheduling policy, and associated charges/forfeitures), and subsequently making payment for Your booking, You confirm that You have read, understood, and explicitly agree to all terms herein. You particularly acknowledge that by requesting a session to take place within the 14-day statutory cooling-off period, Your cancellation rights under the Consumer Contracts Regulations 2013 are affected as described in Section 7.1, and that You may be liable for proportionate costs or forfeiture of fees if You cancel.
Except as otherwise expressly stated, all sessions and content provided is My copyrighted work or My third-party content supplier’s and is protected by UK and international copyright laws.
Except as otherwise expressly stated, You may not modify, copy, distribute, display, reproduce, sell, license, or create derivative works from any sessions or content provided, in whole or in part, including any text, images, audio, and video in any manner, without My prior written authorisation or any applicable third-party supplier. Any unauthorized use of text or images may violate copyright laws, trademark laws, the laws of privacy and publicity, and applicable regulations and statutes.
I am not responsible for any claims of ownership rights against you.
You agree that You will not use any such trademarks, service marks, trade dress, or other logos without My prior written authorisation.
I am a trainee hypnotherapist. Having completed the required modules with Grace Method School Hypnotherapy, I am now approved and required by the school to offer Hypnotherapy sessions as part of My continuing training.
All content stated or available through any service or product I offer is not intended to be, and must not be taken to be, the practice of medicine, therapy, or psychology or the provision of medical, therapeutic, or psychological / mental health care or any other professional healthcare.
Hypnotherapy is not a replacement for medical diagnosis or treatment. The Client understands that the Hypnotherapist is not a Medical Provider, Doctor, Licensed Psychologist or other Medical Professional and that any advice given by the Hypnotherapist does not replace the advice by these professionals.
All hypnosis is guided self-hypnosis and requires openness, willingness and effort from the client. I do not offer any guarantee that Hypnotherapy / Hypnosis will yield any or all the benefits mentioned in this document or in any communications from Me.
Hypnotherapy / Hypnosis is a process in which Parties discuss a wide variety of issues, events, experiences, and memories for the purpose of creating positive change so You can experience life and relationships more fully. It provides You an opportunity to better, and more deeply, understand Yourself, as well as any problems or difficulties You may be experiencing. Hypnotherapy / Hypnosis is a joint effort between You and the Hypnotherapist / Hypnotist. Progress and success may vary depending upon the particular problems or issues being addressed, as well as many other factors.
Participating in Hypnotherapy / Hypnosis may result in several benefits, including, but not limited to, reduced stress and anxiety, a decrease in negative thoughts and self- sabotaging behaviours, improved interpersonal relationships, increased comfort in social, work, and family settings, increased capacity for intimacy with others, and increased self-confidence. Such benefits may also require substantial effort on Your part, including an active participation in the therapeutic process, honesty, and a willingness to change feelings, thoughts, and behaviours.
There is no guarantee that Hypnotherapy / Hypnosis will yield any or all the benefits listed above.
Participating in Hypnotherapy / Hypnosis may also involve some discomfort, including remembering and discussing unpleasant events, feelings, and experiences. The process may evoke strong feelings of sadness, anger, fear, etc. There may be times in which Your perceptions and assumptions are challenged, and different perspectives offered. The issues presented by You may result in unintended outcomes, including changes in Your personal relationships. You should be aware that any decisions taken, including on the status of a personal relationship, are Your responsibility.
During the therapeutic process, You may find that You feel worse before You feel better. For some, this is generally a normal course of events. Personal growth and change may be easy and swift at times, but may also be slow and frustrating.

If You breach any terms set out in this Agreement, I reserve the right to refuse to accept Your registration and to cancel any session bookings made.
I reserve the right to terminate services for any client who exhibits inappropriate behaviour. Such inappropriate behaviour includes, but is not limited to, threatening or abusive language or actions, harassment, inappropriate personal conduct, breaches of confidentiality, and intentional disruption of sessions.
In the event of termination due to inappropriate behaviour, any current session or future session(s) booked, will be forfeited with no refund issued. I will communicate the reason for termination in a respectful and professional manner.
Client confidentiality is maintained according to the principles set out in the Privacy Policy. Please refer to the Privacy Policy for full details on how Your information is handled, including information regarding session recordings.
Sessions will be conducted via video (or audio call if video is not feasible). Communication will primarily be through email or the mobile number (or associated messaging services) provided during registration.
By participating in online hypnotherapy sessions, You acknowledge and accept that online communication carries inherent risks, including potential data breaches, service interruptions, and technical issues.
You are responsible for ensuring the security and proper functioning of Your own devices and internet connection. While I will take reasonable measures to ensure the security and functionality of my own systems and the chosen communication platform, I cannot guarantee that any device or system (yours or mine) will be completely free from defects, viruses, or other malicious content.
You acknowledge that technical faults or issues arising from Your own hardware, software, or internet connection are not the responsibility of the Hypnotherapist. However, I am responsible for taking reasonable care to ensure the security and functionality of my own technology and the communication platform used for the sessions.
It is my hope that You will be happy with the service provided. If this is not the case, please contact Me at matthew[at]matthewearlwellness[dot]com. I will endeavour to address Your complaint fairly and promptly within one week and to the best of my ability.
Neither party shall be liable to the other for any failure to perform any obligation under any Agreement which is due to an event beyond the control of such party including but not limited to any Act of God, terrorism, war, Political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, earthquake, flood or any other natural or man-made eventuality outside of our control, which causes the termination of an agreement or contract entered into, nor which could have been reasonably foreseen.
Any Party affected by such event shall forthwith inform the other party of the same and shall use all reasonable endeavours to comply with the Terms and Conditions of any agreement contained herein.
The headings in these Terms and Conditions are for convenience of reference only, and under no circumstances should they be construed as being a substantive part of this Agreement nor shall they limit or otherwise affect the meaning thereof.
If any provision, or part of any provision, of this Agreement is or becomes illegal, invalid or unenforceable, the legality, validity and enforceability of any other provision of this Agreement will not be affected and will continue in full force and effect and shall be binding on the Parties.
No person other than You or Me will have any right to enforce any of this Agreement’s provisions.
You shall not assign any rights, or delegate or subcontract any obligations, under this Agreement without My prior written consent. Any assignment in violation of the above shall be deemed null and void.
The waiver by either Party of a breach or violation of any provision in this Agreement shall not operate or be construed as a waiver of any subsequent breach or default of a similar nature, or as a waiver of any such provisions, rights, or privileges. Failure to insist upon full performance of the obligation or failure to exercise rights under this Agreement shall not constitute a waiver as to future defaults or exercise of rights.
This Agreement and any dispute or claim arising out of, or in connection with, it, its subject matter or formation (including non-contractual disputes or claims) will be governed by, and construed in accordance with, the laws of England and Wales.
You irrevocably agree that the courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim arising out of, or in connection with, this Agreement, its subject matter or formation (including non-contractual disputes or claims).
Acknowledgement and Release of Liability regarding Your participation in hypnotherapy sessions with Me.
You acknowledge that You have reviewed and understand the terms and conditions of this Agreement. If You have discussed these terms with Me, You confirm that any questions You had were answered to Your satisfaction. You agree to abide by these Terms and Conditions and consent to participate in hypnotherapy sessions with Me.
I will provide hypnotherapy services with reasonable care and skill as required by the Consumer Rights Act 2015. However, You acknowledge that hypnotherapy outcomes can vary, and no specific results are guaranteed. Subject to applicable UK laws, my liability for any loss or damage arising from the provision of services shall be limited to foreseeable losses directly attributable to my negligence or breach of statutory duty. For the avoidance of doubt, nothing in this Agreement shall limit or exclude my liability for: (a) death or personal injury caused by my negligence; (b) fraud or fraudulent misrepresentation; or (c) any matter in respect of which it would be unlawful for me to exclude or restrict liability.
You agree to indemnify and hold harmless Matthew Earl from any claims, liabilities, or expenses (including reasonable legal fees) arising out of or in connection with Your use of his services or Your breach of these Terms and Conditions, except to the extent such claims, liabilities, or expenses arise from Matthew Earl’s negligence or breach of statutory duty.
Nothing in these Terms shall affect Your statutory rights as a consumer under UK law, including but not limited to the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
You can email Me and cancel this Agreement at any time. Termination will take effect upon receipt of Your email notification. Once the Agreement is terminated, any pending sessions will also be cancelled subject to my cancellation policy.
Separate from terminating this Agreement, You have the right to withdraw specific consents (e.g., for session recording, health data processing) at any time. The procedures for withdrawing specific consents are detailed in the Privacy Policy. Withdrawing consent for certain essential processing activities may impact the provision of services, as outlined in the Privacy Policy.
Notwithstanding any provision in this Agreement to the contrary, the following provisions shall survive termination or expiration of the Agreement: Disclaimer; Acknowledgement, Limitation of Liability and Indemnification; Intellectual Property; Third-Party Content; General Terms.
